Welcome to DashAI! These Terms of Service ("Terms") govern your access to and use of our services, including our website, APIs, and any other software provided by DashAI (collectively, the "Service"). Please read these Terms carefully before using our Service.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

DashAI provides a customer service streamlining platform designed for small to medium enterprises and startups. Our Service connects to your business's Instagram and Messenger accounts to:

• Engage with your customers via a RAG-powered Smart Chat to collect complaint details.
• Automatically convert customer conversations into structured, technically-worded tickets.
• Route tickets to the appropriate teams within your organization (e.g., development, support, admin).
• Provide customers with instant updates and ticket confirmation numbers via the chat platform they used.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age. To access the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

3. User Responsibilities

You are solely responsible for:

• Your conduct and any data, text, information, and content ("User Content") that you submit, post, and display on the Service.
• Complying with all applicable laws, rules, and regulations, including those related to data privacy, international communications, and the transmission of technical or personal data.
• Securing the necessary permissions and consents from your customers to allow DashAI to process their data as part of the Service.
• Ensuring you have the right to connect your Instagram and Messenger accounts to our Service.

You agree not to use the Service to:

• Engage in any illegal or fraudulent activities.
• Infringe upon the intellectual property rights of others.
• Transmit any viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to our systems or network.

4. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of DashAI and its licensors. The Service is protected by copyright, trademark, and other laws of both New Zealand and foreign countries. Nothing in these Terms gives you a right to use the DashAI name or any of the DashAI trademarks, logos, domain names, and other distinctive brand features.

5. Third-Party Services

Our Service integrates with third-party platforms like Instagram and Messenger (owned by Meta Platforms, Inc.). Your use of these platforms is subject to their respective terms of service and privacy policies. DashAI is not responsible or liable for the practices, content, or availability of any third-party services.

6. Termination

We may suspend or terminate your access to and use of the Service, at our sole discretion, at any time and without notice to you, for any reason, including if you violate these Terms. You may cancel your account at any time by following the instructions on our website. Upon termination, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DASHAI MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT WILL DASHAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
